Why structure comes before the occasion
Anyone running a business carries liability – with the business and, depending on the legal form, personally as well. Which structure can carry that is decided long before a crisis, not during one. We separate business and private assets before there is a reason to.
Legal form
Sole trader, partnership, limited company: the choice determines what you are liable with and whether a later sale or handover is possible at all. We check whether the existing form still fits what the business does today.
Holding
A holding company separates what is earned from what is at risk in day-to-day operations. We develop structures that are sound for tax purposes and agree them with your tax adviser before anything is set up.
Business split
Land, machinery or a trademark often sit in the same company as the operating business. A split reorders that – with consequences that belong on the table beforehand, because they are hard to correct later.
Succession
A handover is not a date but a period. We order the structure so that a handover within the family or to a third party stays possible, and involve your tax adviser and lawyer early.
Covering business risks
What can still happen despite a good structure is covered: directors' liability, loss of key people, physical damage in the business. We review what exists and name what is missing and what runs twice.
Who does what
This advice replaces neither your tax adviser nor your lawyer
Ali Yasin develops the structure and coordinates those involved. Your tax adviser carries the tax implementation, your lawyer the legal one. This advice replaces neither – it makes sure both work towards the same structure.
